Partnership Policy

1. Purpose

The Lucent ERP Partnership Policy defines the structure, eligibility, benefits, and mutual responsibilities of individuals, companies, and organizations entering into a formal partnership with BrainCave Software Private Limited (“BrainCave”) to promote, sell, implement, or support Lucent ERP products and services.

2. Types of Partnerships

We offer the following partnership models:

A. Reseller Partner

  • Promotes and resells Lucent ERP.
  • Can set their own pricing margins.
  • Handles local sales, basic demonstrations, and customer relationships.

B. Implementation Partner

  • Provides end-to-end deployment, customization, training, and support of Lucent ERP.
  • Requires technical capabilities and a trained implementation team.

C. Referral Partner

  • Refers potential clients to BrainCave.
  • Earns a commission for every successful conversion.

D. Strategic/Enterprise Partner

  • Involves joint go-to-market plans, co-branding, and region-specific alliances.

3. Partner Eligibility Criteria

To qualify as a partner, an individual or entity must:

  • Be a legally registered business entity (for Reseller and Implementation types).
  • Have a basic understanding of ERP and digital transformation (training is available).
  • Commit to ethical business conduct and transparency.
  • Agree to the terms outlined in the Lucent ERP Partner Agreement.

4. Benefits of Being a Lucent ERP Partner

Partners enjoy the following benefits:

  1. Freedom to set custom pricing based on market and client value.
  2. Access to dedicated partner support from BrainCave.
  3. Priority for qualified leads in the partner’s region.
  4. Exclusive partner discounts on licenses and services.
  5. Access to Lucent ERP training sessions and certification programs.
  6. Use of co-branded marketing materials and promotional assets.
  7. Invitation to participate in product roadmap discussions.
  8. Listing in our official partner directory and website.
  9. Access to pre-sales assistance and technical demo environments.
  10. Participation in partner-only webinars, events, and summits.
  11. First-level support role for clients with escalation to BrainCave as needed.
  12. Dedicated account manager and periodic strategy meetings.

5. Partner Responsibilities

Each partner is expected to:

  • Promote Lucent ERP ethically and accurately.
  • Offer basic demos or discovery sessions (Reseller/Implementation).
  • Deliver services such as implementation, training, or support (if applicable).
  • Maintain updated knowledge of Lucent ERP through our training portal.
  • Abide by branding and communication guidelines set by BrainCave.
  • Maintain confidentiality of customer and product information.
  • Submit quarterly activity and pipeline reports, if requested.

6. Pricing & Revenue Model

  • Resellers can set their own pricing for implementation and add-on services.
  • Lucent ERP license fees are billed by BrainCave based on our standard price list or agreed enterprise rate.
  • Partners receive revenue shares or commission on referred or sold licenses, implementation, and support services.
  • Discounts and margins are tiered based on performance and region.

7. Training & Certification

All partners will have access to:

  • Basic and advanced Lucent ERP product training
  • Implementation methodology and best practices
  • Sales and marketing workshops
  • Certification exams (optional but recommended)

Certified partners will be promoted as “Certified Lucent ERP Partner” and given implementation priority.

8. Support & Escalation

  • Partners provide Level 1 support to their clients.
  • BrainCave offers Level 2 & 3 support for technical, server, or core product issues.
  • Ticketing systems and partner hotlines are available to ensure smooth coordination.

9. Intellectual Property

  • The Lucent ERP platform, trademarks, designs, and source code remain the intellectual property of BrainCave Software Pvt. Ltd.
  • Partners may use logos and product visuals for co-branded marketing, with prior approval.
  • Any custom development or localization work must be agreed upon in writing and does not grant IP rights.

10. Term, Renewal & Termination

  • Partnership agreements are valid for 1 year, with automatic renewal based on mutual performance and conduct.
  • Either party may terminate the agreement with 30 days’ written notice.
  • In case of breach of policy, misuse of brand, or unethical behavior, BrainCave may suspend or terminate the partnership immediately.

11. Confidentiality

All partner discussions, pricing, product roadmaps, client details, and documentation must remain confidential. Breach of confidentiality will lead to legal consequences and partnership revocation.

12. Dispute Resolution

Any disputes arising under this policy or the partnership agreement will be resolved through:

  1. Mutual discussion and internal escalation
  2. Mediation (if necessary)
  3. Legal arbitration under the jurisdiction of Kolkata, West Bengal, India

BrainCave reserves the right to amend this Partnership Policy from time to time. All active partners will be notified of major changes at least 15 days in advance.
